1. Scope and seller role

This agreement is between you, as the seller, and Debelu Digital Technologies Limited (RC 9299179), a company incorporated in Nigeria. It supplements the Terms of Service when you operate a store or sell through Debelu. You sell as an independent principal, not as Debelu’s employee, partner, agent or franchisee. You are responsible for the products you offer, your authority to sell them, and the promises you make in listings and orders. You cannot bind Debelu to a contract or make a guarantee on its behalf.

The marketplace provides discovery, order and payment tools. It does not grant you an intellectual-property license, a regulatory permit or approval to sell a restricted product.

2. Store setup and verification

Provide accurate store and contact information and complete the review steps required in the seller account. Do not use another person’s identity or documents. Keep information current when ownership, fulfillment or payout details change.

A verification state reflects the reviewed information; it is not an endorsement of every product. Creating a buyer account or selecting seller intent does not assign seller privileges by itself.

3. Listings and availability

Use clear photographs and descriptions that match what you supply. State condition, size, quantity, defects, relevant compatibility and whether an item is used or reconditioned. Explain warranties or restrictions honestly.

Keep price and availability current. Do not accept an order for an unavailable item without explaining the issue and arranging a lawful cancellation or a buyer-approved alternative. Never create false ratings or an invented brand affiliation.

4. Lawful products and conduct

Offer only products you are entitled to sell. Counterfeit, stolen, unlawful or unsafe goods, weapons and academic-dishonesty services are prohibited. Additional product categories may require legal permissions that are your responsibility.

Follow the Community Guidelines. Do not harass a buyer, threaten a complainant, manipulate reviews or bypass a restriction through another account.

5. Prices, fees and records

Listing is free. Review the applicable seller fee, your share and fee examples on the Pricing page. Any separately applicable charge must be disclosed before the buyer commits; do not demand a surprise surcharge at handover.

The fee and price recorded for an accepted order govern that order; a later fee change does not retrospectively change it. We will communicate material future fee changes before they apply, as required by law. Maintain the records needed for your business and explain taxes or invoices where applicable. You remain responsible for your tax and reporting obligations; the marketplace does not provide individualized tax advice or assert that every seller has the same obligations.

6. Orders and communication

Check the order details and agree on realistic delivery or pickup arrangements. Communicate material delays and respond to questions about what was sold. Do not substitute an item, condition or quantity without the buyer’s agreement.

Pack and fulfill the order with reasonable care. Keep useful communications and proof connected to the order, particularly if the delivery method requires a third party. No universal fulfillment or delivery time is assumed.

7. Inspection and payment release

Allow the buyer to inspect the item at handover. Ask for the delivery PIN only after inspection; never ask for a password, login code or an early PIN to “unlock” delivery.

Sharing your delivery PIN after inspection releases funds to the seller’s wallet. If no PIN is shared and no dispute is opened, funds are automatically released three days after delivery.

Do not misstate an order’s delivery status to trigger release. A platform release event does not extinguish a lawful obligation to address a defective or misdescribed product.

8. Wallet release and bank withdrawal

Wallet release is different from a bank withdrawal. Use the account’s withdrawal controls and provide payout information you are authorized to use. Verification, provider processing, bank availability or a review can affect timing.

A release does not make funds immune to a valid refund, payment reversal or chargeback. We may hold or restrict an affected payout where reasonably necessary to review suspected fraud, a payment reversal, an unresolved order or a legal requirement. A hold must be tied to its reason and reviewed; it does not transfer ownership of a lawful balance to Debelu. We will explain the reason and available review route unless disclosure is legally restricted or would compromise security. Report discrepancies with the relevant transaction reference. A withdrawal request is not a guarantee of immediate receipt, and the agreement does not create a fixed bank-payout SLA.

9. Cancellations, returns and refunds

If you cannot supply the agreed item, explain promptly and use the applicable cancellation or refund process. Respond constructively to a return request, preserve evidence and clarify safe return and inspection arrangements where relevant.

A seller policy cannot exclude consumer rights that cannot lawfully be excluded. Do not use “no refunds,” a released PIN or a platform reporting limit as a blanket answer to every complaint. Do not require a second payment as a condition for returning money owed.

10. Disputes and cooperation

Provide accurate evidence when an order is reviewed, including relevant listing details, messages and fulfillment records. An open dispute holds funds while it is reviewed. Do not tamper with evidence or pressure the buyer to withdraw a report.

Review can consider both parties’ evidence; it does not promise a predetermined outcome or fixed time. See dispute guidance. Request an explanation or reconsideration through support if you believe relevant evidence was missed.

11. Buyer information and confidentiality

Use a buyer’s contact and delivery information only to fulfill the purchase, manage a legitimate follow-up or meet a legal obligation. Do not publish it, sell it, send unsolicited marketing or share it with someone who has no role in fulfillment.

Limit any delivery partner’s information to what that task requires. Keep your own copies secure and retain them only for a legitimate purpose. Your independent use of customer information can make you responsible for complying with data-protection law.

12. Listing content and platform rights

You retain the rights you hold in your listing material. You grant Debelu a non-exclusive, royalty-free licence to host, reproduce, format, display and transmit that material to operate and promote your public listings and store. We may allow our service providers to do those tasks for us. This is not ownership of your material or permission to publish private buyer information. After removal, copies may remain only as needed for existing orders, records, lawful retention and the lifecycle of backups. Do not submit content belonging to someone else without permission.

Do not misuse the Debelu name or imply an endorsement, partnership or guarantee that was not given. Use supplied brand resources only for an appropriate reference to the service.

13. Restrictions, closing a store and contact

A store may be restricted for unlawful products, fraud, misleading information, unsafe conduct or other material breaches. The response may be a warning, listing removal, temporary restriction or closure, according to the circumstances. A seller can ask support for reconsideration where lawful and safe.

Closing a store does not remove outstanding fulfillment, refund, dispute, payment or statutory obligations. Contact help@debelu.com about an order or restriction and legal@debelu.com about this agreement. Nigerian law and non-waivable consumer rights remain applicable.

14. Seller assurances and responsibility for claims

You confirm that you have authority to sell and fulfil each item, that your listing and verification information are accurate, and that your products and content comply with law and third-party rights. Keep evidence of authenticity, necessary permissions and fulfilment. Tell us promptly about a recall, unsafe product, compromised account or material mistake in an order.

Where you use seller services for trade or business purposes and the law permits, you are responsible for third-party claims and reasonable, evidenced losses caused by your unlawful products, infringement, misuse of buyer information, fraud or material breach of this agreement. This does not cover loss caused by Debelu’s own breach, fraud, negligence or unlawful conduct, and does not impose an indemnity on a protected consumer.

We will give reasonably prompt notice of a relevant claim, allow you a fair opportunity to respond and cooperate to reduce loss. Neither party may admit liability on the other’s behalf or agree a settlement imposing duties on the other without written consent. Any recovery or lawful set-off must be explained, supported by records and open to challenge through support or a competent authority; it is not permission for an arbitrary penalty or forfeiture.

15. Service limits and rights that remain protected

Debelu provides marketplace tools. It does not guarantee a minimum audience, ranking, sales volume, seller profit, buyer conduct or uninterrupted third-party payment and delivery services. A badge, automated suggestion or platform review is not a guarantee that a product is lawful, genuine or suitable; the seller remains responsible for those statements.

For business-to-business services only, and only where lawful, Debelu does not accept liability for indirect business losses such as lost business opportunities or goodwill that were not reasonably foreseeable when the relevant agreement was made. Loss caused by a party’s own conduct must be assessed on its facts; this provision is not a blanket exclusion of responsibility.

Nothing in this agreement excludes or limits liability or a remedy that Nigerian law does not allow to be excluded, including applicable consumer rights, liability for fraud or negligence, personal-data obligations, or an obligation to account for funds lawfully owed. Inspection, a PIN, automatic release or account closure does not waive those protections.

16. Ending the agreement, changes and notices

You may stop accepting new orders and request store closure through support. Existing orders, lawful refunds, fees already earned, payment reversals, confidentiality and claims arising before closure still need to be resolved. Debelu may urgently restrict access where necessary to protect users, preserve evidence or comply with law, with explanation and reconsideration where lawful and safe.

We will identify material changes and provide notice before they take effect where required. An updated page does not by itself prove that a seller accepted a new obligation, and changes do not retrospectively remove accrued rights. Mandatory law prevails; this agreement governs seller-specific duties, while the Terms govern general platform use. A separately signed agreement overrides these documents only where it expressly says so.

Nigerian law applies. Raise an issue at legal@debelu.com or use the order-support process, without losing access to a regulator or competent Nigerian court. If a provision cannot lawfully apply, the remaining lawful provisions continue. A delay in enforcing a right is not a waiver of it.
